Introduction & Acceptance

Alphr is operated by A Circle Media Group PTY LTD (ACN: 675 249 608) ("Alphr", "we", "us" or "our"). These Terms govern your access to and use of the alphr.com.au website (the "Website") and, where applicable, any related mobile or software application (the "App") (together the "Alphr Services" or the "Services"). By creating an account, subscribing, or otherwise using the Services you confirm that you have read, understood and accept these Terms. If you do not agree to these Terms, you must immediately stop using the Services.

1. Overview of Services

The Services may include but are not limited to:

• Subscription-based tipping services (ongoing sports tips and analytics)
• Pay-as-you-go or one-off tips (Tips on Demand)
• Data-driven sports analytics, predictions, performance tracking and reporting

Alphr provides analytics and informational services only. We are not a bookmaker, wagering operator, or financial adviser. We do not accept bets, execute wagers, or provide odds comparison services.

2. Eligibility

You must be at least 18 years old to use the Services. By using Alphr, you warrant and represent that you are 18 years of age or older and that any registration information you submit is true and accurate.

3. Risk and No Guarantee

While Alphr endeavours to provide accurate analytics and predictions, nothing on the Services constitutes a guarantee of success. Betting carries a risk of loss. You should only wager amounts you can afford to lose. Alphr is not liable for any loss, damage, cost or expense (including indirect or consequential loss) arising from your use of the Services to the maximum extent permitted by law.

4. Subscriptions, Payments & Billing

Subscription plans, pricing, and billing options are set out on our Website. To subscribe you must create an account and provide valid payment details. You authorise us to charge your nominated payment method for recurring subscription fees where applicable.

• Payments are processed in AUD via our payment processor (Stripe) or via in-app store billing where applicable.
• Alphr may suspend or cancel subscriptions for failed payments or suspected fraud.
• We reserve the right to change subscription fees. Where fees change materially, we will provide notice on the Website prior to changes taking effect.

Refunds: Refunds will only be provided where required under the Australian Consumer Law or where Alphr expressly states otherwise in a specific offer or promotion.

5. Cancellation & Termination

You may cancel your subscription at any time through your account settings on the Website or via the relevant app store if purchased in-app. Cancelling a subscription will stop future recurring charges but will not automatically entitle you to a refund unless otherwise stated. We may suspend or terminate your access to the Services without notice if we reasonably suspect you are in breach of these Terms.

6. Tip Delivery & Timing

We aim to provide tips and content according to the day/time indicated in your subscription or the Services. Delivery times are indicative and may vary due to data availability, timing of events, technical issues, or other unforeseen events. Alphr is not responsible for delays or failures in tip delivery.

7. Confidentiality & Use of Tips

Tips and related materials provided to subscribers are proprietary and confidential. By subscribing you agree not to forward, publish, or otherwise disclose tips or subscription content to third parties without our prior written consent. Subscribers are granted a limited, non-exclusive licence to use tips for personal, non-commercial purposes only.

8. Intellectual Property

All content, analytics, software, trademarks, logos, and other intellectual property on the Services are owned by Alphr or our licensors. Nothing in these Terms transfers ownership of any intellectual property to you. Unauthorized copying, distribution, or commercial use of our content is prohibited.

9. User Conduct & Prohibited Activity

You must not use the Services to:

• Violate privacy or intellectual property rights
• Transmit unlawful, defamatory, obscene, or malicious content
• Upload viruses or harmful code
• Attempt to gain unauthorised access to the Services or other users' accounts

We reserve the right to remove content or suspend accounts for misuse.

10. Security of Information

While we use reasonable technical and organisational measures to protect your data (including HTTPS/TLS and secure payment processing), we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

11. Warranties & Liability

To the extent permitted by law, Alphr disclaims all warranties, express or implied, including fitness for purpose. To the maximum extent permitted by law, Alphr, its officers, employees and agents are not liable for any special, incidental, indirect, or consequential losses arising out of or in connection with your use of the Services.

12. Third-Party Links, Tools & Affiliates

The Services may contain links to third-party websites, plugins, or services that are not owned or controlled by Alphr. We are not responsible for third-party content or services. We may receive affiliate income from links to third-party services where disclosed.

13. Privacy

Your personal information will be handled in accordance with our Privacy Policy. By using the Services you consent to collection, storage and processing of your information as described in that policy.

14. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will provide reasonable notice via the Website. Continued use after updates constitutes acceptance of the updated Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria.

16. Termination Rights

We may terminate or suspend access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. On termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will continue to apply (including Intellectual Property, Liability, and Confidentiality).

17. Feedback & User-Generated Content

If you provide feedback, reviews, or user-generated content, you grant Alphr a perpetual, irrevocable, non-exclusive, royalty-free licence to use, reproduce, modify and publish such content worldwide.
